- Consulting with the client on the acquisition process and possible strategic alternatives;
Searching for potential takeover targets, evaluating their readiness for sale:
- An analysis of market opportunities and offers, seeking/selecting potential targets (if necessary)’
- Preliminary analysis of potential takeover targets (market position, competitive advantages, degree of financial stability, the investment appeal of a business and its outlook);
- Holding preliminary negotiations with owners/management of potential takeover targets to assess their interest, expectations and limiting conditions;
Conducting a due diligence of the target using various approaches (if necessary):
- The DCF method using financial modeling options;
- Peer analysis (based on comparable transactions).
Managing the transaction process:
- Coordinating the mutual actions of all parties to the deal, including outside consultants (legal, tax, and technical);
- Framing strategies to determine the price of a takeover bid, offering assistance in preparing a draft/preliminary offer;
- Helping the client perform a due diligence, identifying and mitigating risks;
- Assisting in preparing documentation required to close the deal;
- Calculating the cost of the deal;
- nteracting with regulatory authorities (if necessary).
Negotiating process and follow-up:
- Participating in negotiations with the interested parties and/or representing the client’s interests in negotiations;
- Consulting with the client on negotiating tactics;
- Assisting in drafting public statements and information disclosure measures (if necessary).
